**Definitions**

 

In these general terms and conditions, the following terms shall have the following meanings:

 

Easy Nuts: the website Easy Nuts BV.nl, other websites linking to Easy Nuts BV.nl, and the supporting services provided by Easy Nuts;

 

Contractor: the person who wishes to enter into a contract or notify a change of address via Easy Nuts BV.nl with one of the participating Energy Suppliers, Water Suppliers, Internet Providers, Insurers, Telecom Providers, to which terms and conditions apply;

 

Supplier: Energy Supplier, Water Supplier, Telecom Supplier, Insurer with whom the contractor has entered into an agreement after intervention by Easy Nuts BV.nl, to which the general terms and conditions of the energy supplier, water supplier, Internet Provider, and insurer apply.

 

Agreement: the agreements recorded in a form, document, or otherwise, on the basis of which Easy Nuts BV performs one or more services;

 

Services: the services to be provided by Easy Nuts BV, such as information provision, automatic postcode check, mediation between contractor and suppliers, sale of energy, water, internet, insurance, and mobile services, as well as other broadband services and sale of hardware and other products.

 

Matters: the mediation between the contractor who has entered into an agreement with one of the suppliers and these suppliers by Easy Nuts BV.

 

**Subject**

 

Easy Nuts BV provides one or more services as described in the agreement. Changes to the scope and/or content of a service must be agreed upon in writing and will then become part of the agreement.

 

**Provisions**

 

By using the services of Easy Nuts BV, you declare that you have read the complete general terms and conditions and also agree to the entire contents of these general terms and conditions, whereby Easy Nuts BV cannot be held responsible for the articles, sections, and subsections mentioned in these general terms and conditions.

 

The service provision of Easy Nuts BV to the contractor ends after the contractor has been connected to one of the participating suppliers or has been informed that he/she cannot use the services of the supplier due to, but not limited to, technical or administrative limitations. After connection or rejection of the subscription requested via Easy Nuts BV by the supplier, there is no longer any agreement in any capacity between Easy Nuts BV and the contractor, and the contractor can then no longer claim the services provided by Easy Nuts BV, at the discretion of Easy Nuts BV.

 

**Contractor**

 

The contractor shall, as far as reasonably necessary, cooperate in the performance of the agreement. He/she will, among other things, provide necessary data to Easy Nuts BV, to employees of Easy Nuts or to third parties engaged by Easy Nuts BV, and will take measures to enable Easy Nuts BV to provide its services properly.

 

The employees of Easy Nuts BV or those of the third parties engaged by Easy Nuts BV will adhere to the access regulations and/or safety measures of the contractor, as indicated in the agreement.

 

**Confidentiality**

 

Each party is obliged to maintain confidentiality towards third parties of all confidential data, in any form whatsoever, obtained from the other party. Login details and passwords are for the sole personal use of the contractor and must never be disclosed in any way.

 

**Intellectual Property Rights**

 

The agreement does not result in the transfer of ownership of goods and software, and/or of the intellectual property rights to the goods and software used by Easy Nuts BV in the provision of the service.

 

The intellectual property rights to the data produced for the performance of the agreement by Easy Nuts BV, such as reports, advice, and documentation, are held by Easy Nuts BV. The contractor obtains a non-exclusive right to use the data limited to the purpose for which the data was provided.

 

If third parties wish to assert rights with regard to the goods, the software, or the data referred to in the second paragraph, the contractor must immediately inform them of Easy Nuts BV's rights. The contractor must immediately inform Easy Nuts BV.

 

**Rates**

 

All rates listed on Easy Nuts BV.nl are provided by the suppliers and are subject to change; all prices are in Euros and, if not specifically stated, include 21% VAT. Rates such as subscription fees, network costs, taxes, connection costs, modem costs, and insurance tax, and other related costs are subject to change and can be changed in the meantime. Contractors who have actually been activated by the supplier will no longer have a relationship with Easy Nuts BV from the moment of subscription, and contractors will be kept informed by the respective Internet Service Provider of interim changes in rates. Easy Nuts BV will have no influence on this and can never be held liable for this.

 

**Payments**

 

The supplier will invoice the amounts due from the contractor by means of an invoice. Payment must be made to a bank or giro account indicated by the supplier, in the manner and within the period as stated on the invoice. If no period is stated on the invoice, a payment term of 30 days will apply. Payments will be processed by the supplier without the involvement of Easy Nuts BV unless otherwise indicated. Easy Nuts BV cannot be held responsible for problems between the contractor and the supplier and cannot be held liable for any damage suffered as a result.

 

If the contractor has not paid on time, the supplier will notify him or her in writing and set a further payment deadline. If payment is still not made within the additional period, the contractor will be in default without further notice.

 

**The Agreement**

 

The agreement between the contractor and Easy Nuts BV is entered into for an indefinite period. The agreement between the contractor and Easy Nuts BV will be terminated after the completion or processing of the subscriptions and/or change of address notices by the contractor with the relevant supplier.

 

The agreement between the contractor and the supplier is entered into for a fixed term. The agreement between the contractor and the supplier will be automatically renewed for an indefinite period after the agreed term, with a model contract at a variable rate.

 

The suppliers and the contractor can only terminate the agreement, subject to and after the expiration of the agreed (renewal) term, in accordance with the provisions specified in the general terms and conditions provided by Easy Nuts BV to the supplier, unless:

 

a different agreement has been made with the contractor;

 

the contractor chooses to pay the contractually agreed penalty in case of early termination of the agreement;

 

a situation arises as referred to in article 6, paragraph three, or article 13, paragraph three, under b.

 

The termination must be made directly to the supplier in accordance with a period as indicated in the delivery conditions provided by the supplier through Easy Nuts BV, unless otherwise agreed.

 

**Liability**

 

Easy Nuts BV is not liable for any damages suffered by the contractor due to deficiencies of Easy Nuts BV in the execution of the agreement for an indefinite period.

 

The contractor acting in the course of a profession or business will indemnify Easy Nuts BV against claims from third parties for compensation for damages.

 

**Final Provision**

 

Easy Nuts BV has the right to change these terms and conditions and to declare the amended terms and conditions applicable to existing agreements.

 

If Easy Nuts BV declares the amended terms and conditions applicable to existing agreements, Easy Nuts will announce the changes in a timely manner through the various information channels available. They will come into effect 30 days after this announcement or on a later date mentioned in the announcement.

 

Regarding the general terms and conditions of suppliers:
